1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and SceneFlow (“we”, “us”, or “our”) regarding your use of the SceneFlow desktop application and related services (collectively, the “Service”).

By creating an account, downloading, installing, or using SceneFlow, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility and Age Requirements

2.1 Minimum Age

You must be at least 13 years old to use SceneFlow. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you must have your parent or legal guardian’s permission to use the Service and they must agree to these Terms on your behalf.

2.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials.

3. Description of Service

SceneFlow is a desktop application that enables users to create pronunciation-focused educational videos with multilingual support. The Service includes:

• Desktop software that runs locally on your computer
• AI-powered image generation capabilities
• Text-to-speech audio generation
• Access to stock image libraries
• Video assembly and rendering tools
• AI bilingual script generation
• Cloud-based authentication and credit management system

4. License Grant and Restrictions

4.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the SceneFlow desktop application on devices you own or control for your personal or commercial use.

4.2 Restrictions

You agree NOT to:

• Modify, reverse engineer, decompile, or disassemble the SceneFlow software
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
• Rent, lease, lend, sell, redistribute, or sublicense the software
• Use the Service to violate any applicable laws or regulations
• Share your account credentials with others or create multiple accounts
• Attempt to bypass, disable, or circumvent any security features or usage limitations
• Use automated scripts, bots, or tools to abuse the credit system
• Access the Service through unauthorized third-party applications

5. Account and Subscription Terms

5.1 Account Creation

To use SceneFlow, you must create an account by providing your email address, username, and phone number. You are responsible for all activities that occur under your account.

5.2 Subscription Plans

SceneFlow offers multiple subscription tiers:

• Free Plan: 20 AI image generation credits (one-time)
• Hobby Plan: Monthly subscription with recurring AI credits
• Studio Plan: Monthly subscription with higher credit allocation
• Enterprise Plan: Monthly subscription with maximum credits and additional features

5.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate. We will provide reasonable notice of any price changes.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds will be provided for partial subscription periods.

6. Payment and Credits

6.1 Payment Processing

All payments are processed securely through Paddle, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for all fees incurred.

6.2 Credit System

AI image generation requires credits. One (1) credit equals one (1) AI-generated image. Credits are allocated as follows:

• Monthly credits are added to your account at the start of each billing period
• Unused credits roll over to the next month
• Credits are non-transferable and have no cash value
• Stock images and manual uploads do NOT consume credits
• Video processing and assembly do NOT consume credits

6.3 Taxes

You are responsible for any applicable taxes, duties, or government charges associated with your purchase.

7. Prohibited Uses

You agree NOT to use SceneFlow to create, upload, distribute, or promote content that:

1. Is illegal: Violates any local, national, or international law, including content related to child exploitation, terrorism, illegal drugs, or violence
2. Infringes copyright: Uses copyrighted images, audio, video, or text without proper authorization or fair use rights
3. Constitutes spam: Creates bulk unsolicited marketing or advertising materials
4. Impersonates others: Falsely represents yourself as another person, organization, or entity
5. Promotes hate: Advocates hatred, discrimination, or violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin
6. Contains malware: Includes viruses, malware, spyware, or other malicious code
7. Facilitates fraud: Creates deceptive content, phishing materials, or financial scams
8. Harasses others: Bullies, threatens, stalks, or harasses individuals
9. Is sexually explicit: Contains adult, pornographic, or sexually suggestive material (SceneFlow is designed for educational content)
10. Violates privacy: Discloses private information about others without consent
11. Promotes self-harm: Encourages suicide, self-injury, or dangerous activities
12. Creates fake credentials: Generates fraudulent educational certificates, diplomas, or academic materials for deceptive purposes

8. Content Ownership and Rights

8.1 Your Content

You retain all ownership rights to content you create using SceneFlow, including videos, scripts, and custom audio recordings. However, you grant us a limited license to process, store, and transmit your content solely to provide the Service.

8.2 Third-Party Content

When using stock images from Pexels, Pixabay, or Unsplash, you must comply with their respective licenses. AI-generated images created through SceneFlow are subject to the terms of our AI provider (Pollinations AI).

8.3 Content Responsibility

You are solely responsible for ensuring that your content complies with all applicable laws and does not infringe on third-party rights. We do not pre-screen content but reserve the right to review and remove content that violates these Terms.

9. Intellectual Property

SceneFlow, including the software, website, logos, trademarks, and all related intellectual property, is owned by SceneFlow and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our trademarks or brand elements.

10. DMCA and Copyright Policy

10.1 Reporting Copyright Infringement

We respect intellectual property rights. If you believe content created with SceneFlow infringes your copyright, please contact us at [YOUR_EMAIL] with:

• Identification of the copyrighted work
• Identification of the infringing material
• Your contact information
• A statement of good faith belief
• A statement under penalty of perjury that the information is accurate
• Your physical or electronic signature

10.2 Repeat Infringers

We will terminate accounts of users who repeatedly infringe copyright.

11. Privacy and Data Collection

Your use of SceneFlow is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

Data we collect includes: Email address, username, phone number, payment information (processed by Paddle), subscription details, credit usage, and analytics data through Google Analytics.

12. Disclaimers and Warranties

12.1 “As-Is” Service

SCENEFLOW IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

12.2 No Guarantee of Availability

We do not guarantee that SceneFlow will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We may suspend, modify, or discontinue the Service at any time without notice.

12.3 Third-Party Services

We rely on third-party services (Paddle for payments, Pollinations AI for image generation, EdgeTTS for audio, Google Analytics, stock image providers). We are not responsible for the availability, accuracy, or functionality of these third-party services.

12.4 AI-Generated Content

AI-generated images and scripts may not always be accurate, appropriate, or suitable for your intended use. You are responsible for reviewing and approving all content before publishing.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCENEFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SCENEFLOW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless SceneFlow and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Content you create or distribute using SceneFlow
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights

15. Account Termination

15.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination, your access to the Service will cease, and your data may be deleted in accordance with our data retention policy.

15.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice, if you:

• Violate these Terms
• Engage in prohibited uses
• Abuse the credit system
• Provide false information
• Engage in fraudulent activity or chargebacks
• Create content that harms our reputation or business

Termination does not entitle you to a refund of any fees paid.

16. Modifications to Terms

We may modify these Terms at any time. If we make material changes, we will notify you via email or through the Service at least 30 days before the changes take effect. Your continued use of SceneFlow after changes become effective constitutes acceptance of the modified Terms.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with international commercial principles and the laws applicable to online services.

17.2 Informal Resolution

Before filing any formal dispute, you agree to contact us at [YOUR_EMAIL] and attempt to resolve the issue informally for at least 30 days.

17.3 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with international arbitration rules, rather than in court. Each party shall bear its own costs of arbitration.

18. General Provisions

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SceneFlow regarding the Service.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

18.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, or failure of third-party services.
